2. Quotations and Orders

Quotations are valid for 15 days from issue unless otherwise stated. Orders are confirmed in writing (PI / contract) after price, specifications, quantity, packaging and delivery terms are agreed. Any change to an order must be confirmed by both parties in writing.

3. Prices and Payment

All prices are in USD, EXW or FOB (as quoted), exclusive of insurance and freight unless stated. Payment terms are agreed per order (commonly 30% deposit and 70% before shipment, or by irrevocable L/C at sight). Payment must be received before production or shipment as specified.

4. Production and Delivery

Lead time is stated per order and starts once the deposit is received and final specifications are confirmed. We will notify the buyer of any delay beyond the agreed lead time. Delivery dates are estimates unless expressly guaranteed in writing.

5. Inspection and Acceptance

The buyer may request pre-shipment inspection. Claims for quality, quantity or damage must be raised within 15 days of arrival of goods, supported by photos or third-party inspection reports. Goods accepted after that period are deemed conforming.

6. Warranty and Returns

Defective products are repaired, replaced or credited at our discretion, provided the defect is proven and the product has been used under normal conditions. Return shipping of non-defective goods is at the buyer’s expense.

7. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, epidemics, government actions, port or production interruptions.

8. Intellectual Property and Confidentiality

Product designs, samples and specifications supplied by us remain our property. The buyer shall not reverse-engineer or reproduce proprietary designs without written consent. Business information exchanged during negotiation is confidential.

9. Limitation of Liability

Our liability is limited to the value of the goods concerned. We are not liable for indirect, consequential or lost-profit damages, or for claims arising from end-use of products beyond agreed specifications.
